• Content: Any data, media, or information uploaded, shared, or generated on the Service, including employee-generated videos, testimonials, and recruitment materials.

2. Eligibility

By accessing or using our Service, you represent that:

1. You are acting on behalf of a company, organization, or entity with an HR or marketing department.
2. You have the authority to bind your organization to these Terms.
3. You will use the Service solely for business purposes, including recruitment or marketing campaigns, in compliance with all applicable laws and regulations.

3. Use of the Service

You agree to:

• Use the Service only for its intended purpose, including creating and managing recruitment and marketing campaigns.
• Ensure that all uploaded or shared Content is lawful, non-infringing, and appropriate for its intended use.
• Refrain from misusing the platform by introducing harmful content, circumventing technical safeguards, or engaging in activities that disrupt the Service.

We reserve the right to monitor and review all activity on the Service and to remove or restrict access to any Content or accounts that violate these Terms.

4. Account and Organization Responsibilities

• Account Creation: Organizations must provide accurate and up-to-date information when registering for an account.
• Account Use: Accounts are organization-specific, and login credentials must not be shared outside your company or its authorized representatives.
• Responsibility: Your organization is responsible for ensuring compliance with these Terms by all users within your company.

5. Subscription and Payments

1. Plans: Access to our Service is subject to subscription plans as outlined on our website or in your agreement with us.
2. Payment Terms: Subscriptions are billed on a recurring basis unless otherwise specified. By subscribing, you authorize us or our payment processors to charge your payment method.
3. Refunds: Payments are non-refundable, except as required by law or explicitly stated in your agreement.
4. Taxes: Your organization is responsible for any applicable taxes associated with the Service.

Failure to complete payments may result in suspension or termination of your access to the Service.

6. Intellectual Property

All materials and features on the Service, including the platform design, dashboard tools, and proprietary technology, are owned by Team.Me Ltd. You are granted a limited, non-exclusive license to use these materials solely for your organization’s internal recruitment and marketing needs.

You retain ownership of Content your organization creates or uploads, but you grant us a non-exclusive license to use such Content for purposes of providing and improving the Service.

7. User-Generated Content

By uploading or sharing Content through the Service, your organization:

1. Confirms that it owns or has the necessary rights to all Content provided.
2. Agrees not to upload or share unlawful, defamatory, or infringing materials.
3. Grants us the right to process and display the Content as part of the Service.

We reserve the right to remove or disable any Content that violates these Terms or applicable laws.

8. Data Privacy

We are committed to protecting your organization's data. Our handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms. By using the Service, you consent to the collection and processing of data as described in the Privacy Policy.

9. Limitation of Liability

To the fullest extent permitted by law:

1. Team.Me Ltd is not responsible for any indirect, incidental, or consequential damages arising from your use of the Service.
2. Our total liability for any claim related to the Service shall not exceed the amount your organization has paid us in the preceding 12 months.

10. Indemnification

Your organization agrees to indemnify and hold harmless Team.Me Ltd, its affiliates, and employees from any claims, liabilities, or expenses arising from:

1. Use of the Service.
2. Breach of these Terms.
3. Violations of applicable laws or third-party rights.

11. Termination

We reserve the right to suspend or terminate access to the Service if:

• You fail to comply with these Terms.
• Required payments are not made.
• We discontinued the Service.

Upon termination, your access will cease, but certain sections of these Terms (e.g., Intellectual Property, Indemnification, Limitation of Liability) will survive.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Israel. Any disputes shall be resolved exclusively in the courts of Israel.
